The present invention provides a modified cellulose that is excellent in dispersibility for a resin and is useful as a composite material of a resin, a method for producing the same, and a resin composition containing the modified cellulose. In the presence of a catalyst, cellulose is reacted with a fluorene compound represented by formula (1) having a carboxyl group or a glycidyl group to obtain a modified cellulose in which the fluorene compound is bound to cellulose. A modified cellulose having a nanofiber form having an average fiber diameter of 5 to 500 nm.
