Provided are a functional device that can suppress corrosion caused by an electrolyte solution, improve durability, and reduce series resistance, and a manufacturing method thereof. A functional device includes a transparent photoelectrode made up of a photoelectric substrate 11 and a photoelectrode layer 12a, a counter electrode substrate 18a made of metal, an electrolyte solution 15 filled in a gap between the substrates, a counter electrode substrate, and the like. The conductive layer 17a and the conductive catalyst layer 16 are formed to have a corrosion resistance against the electrolyte solution. The counter electrode substrate is any of Al, Cu, Ag, Au, SUS, and the corrosion-resistant conductive layer is any of Ti, Cr, Ni, Nb, Mo, Ru, Rh, Ta, W, In, Pt, Hastelloy, The conductive catalyst layer is formed of any one of carbon, Tu, Rh, Pd, Os, Ir, Pt, and a conductive polymer.
