abstract PURPOSE: To obtain the titled resin in which the constituent resins intermingled with each other uniformly on a molecular level, by reacting a polyisocyanate with a polycarboxylic acid (anhydride) in the presence of specified first and second nonaqueous organic liquids and adding a molten epoxy resin to the reaction mixture. n CONSTITUTION: A polyisocyanate is reacted with an acid anhydride group-containing polycarboxylic acid and/or a polycarboxylic acid at 150°C or below in the presence of (A) a first nonaqueous organic liquid (e.g., octane) of b.p. of 40W300°C, in which the particulate polymer formed in insoluble, and (B) a second nonaqueous organic liquid (e.g., phenol) which is immiscible with component A and in which a component A-soluble dispersion stabilizer and the particulate polymer formed is soluble or swellable to obtain (C) a particulate polymer of number-average MW ≤80,000 and average particule diameter of 0.05W2,000μm dispersed in component A.
