A prepreg for obtaining a composite material to which toughness (toughness) is imparted without impairing excellent mechanical properties and thermal properties of a matrix resin, and a method for producing the same. In a prepreg composed of reinforcing fibers and a matrix resin, the matrix resin constituting the outer layer of the prepreg is made of a thermosetting resin, and the matrix resin constituting the inner layer of the prepreg is an organic or inorganic hollow particle. An impact resistant prepreg characterized by containing. The volume ratio (porosity) of the void portion of the organic or inorganic hollow particles to the volume of the entire prepreg is preferably in the range of 1 to 3% by volume.
