A method for preparing umbilical cord and placenta mesenchymal stem cells and application thereof, belonging to the field of mesenchymal stem cell preparation. The method of the present invention utilizes the differentiation method of forming embryoid bodies to differentiate into stem cells, and adds a specific regulating and newly developed stem cell factor STGF , including bFGF, HGF, OSM to promote the growth and differentiation of stem cells, so that the expression of related stem cell genes is similar to the developmental state, successfully unlocking the key to the activation of human body functions by stem cells, and can activate stem cells on a large scale. The culture method of the invention has the advantages of simple operation, low economic cost, complete cell morphology and high purity, and the obtained umbilical cord and placenta mesenchymal stem cells do not express hematopoietic stem cells and the like, and can better maintain cell viability.
